1. Platform and users

Wayo Ads is a platform operated by MGD Agency International LTD, whose legal details are provided in the Wayo Ads legal notice.

Wayo Ads enables Advertisers to collaborate with Creators. Each user creates an account using accurate information and accepts these General Terms and Conditions upon registration.

2. Campaigns

The Advertiser and the Creator define their collaboration on Wayo Ads.

Their campaign agreement specifies, among other things, the content to be produced, the brief, the price, the schedule, the approval process, usage rights and any specific conditions.

The campaign becomes binding on both parties when they accept the same version of the agreement. Any amendment to its terms requires their mutual agreement.

MGD is not a signatory to the collaboration agreement between the Advertiser and the Creator.

It provides the Wayo Ads services described in these Terms and Conditions.

3. Responsibilities of each party

The Advertiser and the Creator are responsible for fulfilling their obligations under the campaign agreement.

Wayo Ads provides the platform and payment services described in these General Terms and Conditions. It does not guarantee the commercial results of campaigns.

4. Prices, payments and invoices

The service price and payment milestones are set out in the campaign agreement:

Advertiser: When the Advertiser adds funds to their Wallet, Stripe fees are deducted from the amount paid. The remaining amount is credited to their Wallet. When the Advertiser creates a campaign, the price agreed with the Creator, the 5% Wayo Ads commission and VAT, where applicable, are deducted from their Wallet. MGD issues the corresponding invoice.
Creator: Payments are released in accordance with the campaign agreement and Article 5, then credited to the Creator's Wallet after deduction of the 5% Wayo Ads commission. The Creator's invoice to MGD is issued in accordance with the platform's procedure.
Transfer: The Creator may request a transfer of their balance to their Stripe account. When funds are transferred to the Creator's Stripe account, Stripe fees are deducted from the amount transferred.

5. Lack of approval and disagreements

Approvals and payments follow the terms of the campaign agreement.

In the event of a disagreement, Wayo Ads reviews the information provided by both parties and explains its decision regarding the release or return of funds not yet paid out. Each party retains the right to seek remedies before the competent courts.

6. Cancellation and refunds

The conditions for cancelling the collaboration are those set out in the campaign agreement and under the law applicable to that agreement.

The Advertiser and the Creator may mutually agree to postpone or cancel the collaboration and specify the financial consequences on Wayo Ads. Refunds take into account the services already performed and the amounts already paid to the Creator.

7. Content rights

The Advertiser and the Creator each retain the rights to their own materials.

The Advertiser authorises the Creator to use the information, logos, images and other materials supplied to produce and publish the agreed campaign.

The Advertiser may use the Creator's content only within the limits set out in the campaign agreement.

Depending on the campaign type, the Advertiser provides the destination URL and shares documents, images or videos useful to the Creator through links. These files remain hosted on the services chosen by the Advertiser. MGD may not use them in its own advertising without the Advertiser's separate consent.

Wayo Ads' proprietary elements, including its code, interfaces and dashboards, remain protected. Any unauthorised extraction or reuse of platform data or other users' private information is prohibited.

8. Account and personal data

Each user protects access to their account and respects other users.

MGD may suspend an account in the event of fraud, a security risk or a serious breach of these Terms and Conditions.

The processing of personal data is explained in the Wayo Ads Privacy Policy, which is accessible during registration.

Prohibited activities:

Fake clicks
Fake views
Identity impersonation
Spam
Publication of illegal content

These activities may result in the suspension or closure of the account.

9. YouTube Connection

Certain YouTube campaigns require the Creator to connect their channel.

Wayo Ads uses YouTube API Services to verify the channel and track the data necessary for the campaign. The user accepts YouTube's Terms of Service and may revoke access in their Google Account settings. The data used and its processing are specified in the Wayo Ads Privacy Policy.

10. Complaints and governing law

Complaints concerning Wayo Ads should be sent to [email protected].

These General Terms and Conditions, which govern the relationship between MGD and each user, are governed by the laws of England and Wales, subject to applicable mandatory rules.

The law governing the collaboration between the Advertiser and the Creator is specified separately in their campaign agreement.

11. Amendments to the General Terms and Conditions

Any significant changes to these General Terms and Conditions will be communicated to users before they take effect. Such changes will not modify the terms of a campaign already accepted without the agreement of the parties.
