Welcome to Wayo Ads, your online platform connecting advertisers with content creators. By accessing our website and/or mobile application, you agree to comply with these terms and conditions. Please read them carefully, as they define your rights and obligations as a user.

2. Definitions

Wayo Ads — The Wayo Ads online platform (website and, where available, mobile apps) operated by AL BOUHOUTI SOFTWARE DESIGN COMPANY L.L.C, including advertiser and creator marketplace services, wallets, campaign management, analytics, and payouts.
User — Any person (advertiser, creator, or organization) holding an account on the platform.
Content — All documents, videos, advertisements, campaigns, and other materials accessible via the platform.
Usage rights — Access to the platform and its private dashboards is for your own business use. You may not transfer, sublicense, or resell platform access or scrape platform data.

3. Access and Use

The user must create an account by providing accurate and up-to-date information. The user is responsible for keeping their login details confidential. Any unauthorized use must be reported immediately.

4. Content Protection and Use

Platform materials, dashboards, analytics, and proprietary Wayo Ads content remain protected intellectual property. Users may not copy, scrape, resell, or redistribute platform data or other users' private account information without authorization. Campaign content you publish on third-party platforms (for example YouTube) remains yours, subject to your grant of a limited license to Wayo Ads as described in these Terms.

5. Features and Services

Our platform offers various features including campaign creation, creator marketplace, analytics dashboards, payment processing, and communication tools. Users agree to use these services responsibly and in accordance with these terms.

6. Technical Support and Maintenance

7. User Rights and Responsibilities

Advertisers may create and manage campaigns, fund an advertiser wallet, access analytics, and review creator applications. Creators may browse campaigns, apply to campaigns, publish approved content (or share tracking links for Link campaigns), and receive payment for validated engagement. All users must act in good faith and comply with platform rules.

Prohibited Behavior

Fraud (e.g., fake views, click fraud), illegal, offensive, or harmful content, spamming, impersonation, and any activity that undermines the integrity of the platform are strictly prohibited. Any breach may result in permanent suspension and legal action.

8. Intellectual Property

All trademarks, logos, designs, code, and other intellectual property on the platform are protected by copyright law and international conventions. Users retain ownership of content they create but grant Wayo Ads a non-exclusive license to host, display, and make it accessible for operating the service.

9. Personal Data

The collection and processing of data are carried out in accordance with our Privacy Policy. Users have the right to access, correct, and delete their personal data. For more information, please review our Privacy Policy.

10. YouTube API Services

Wayo Ads uses YouTube API Services to let creators optionally connect their YouTube channel with read-only access. Connecting verifies channel ownership, syncs public channel profile statistics (such as subscribers, lifetime views, and recent uploads) for your Wayo Ads profile and advertiser review, and supports YouTube verification and trust scoring. Campaign view tracking for video and Shorts works separately: after you submit an unlisted video URL, Wayo Ads measures that video's views through YouTube's official API. By connecting a YouTube channel, you also agree to be bound by the YouTube Terms of Service. Our use and transfer of information received from Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements. You can revoke Wayo Ads' access to your Google Account at any time in your Google Account permissions settings. Details on what we collect and how we use it are described in our Privacy Policy.

11. Limitation of Liability

Wayo Ads and its operator shall not be held responsible for: the quality or relevance of content provided by users, disputes between advertisers and creators, service interruptions, data loss, or technical issues. Liability is limited to the amount of fees paid for the service.

12. Termination

Wayo Ads may suspend or terminate an account in case of violation of these terms. Users may close their account through the platform interface at any time. Upon termination, all rights and access will be immediately revoked.

13. Governing Law and Dispute Resolution

Governing law: The laws in force in the United Arab Emirates. Both parties agree to seek amicable resolution before initiating legal proceedings.

14. Amendments to the Terms

We may update these terms from time to time. We will notify you of any material changes by posting the new terms on this page and updating the "Last updated" date. Continued use of Wayo Ads after the updated terms are posted constitutes acceptance of the changes.

15. Waiver and Acknowledgment

Class action waiver: All disputes must be handled individually. Limitation period: Any claim must be filed within 1 year maximum.
